These Terms and Conditions (“Terms”) constitute a legal agreement between you and Cognum Inc. (“Cognum”, “we”, “us” or “our”) governing your use of Cognum’s AI employee platform (the “Platform”) and any associated services made available by Cognum (collectively, the “Services”).
By accessing or using the Platform or Services, you agree that you have read, understood, and consent to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform or Services.
Please refer to our Privacy Policy for information on how we collect, use, and disclose information from our Users.
You can access our Terms and Conditions from the footer on each page of our Platform. We aim to present it in a language that is clear and easy to understand. If you need this document in a different language or format, or if there are any terms or phrases that you find unclear, please feel free to reach out to us at hello@cognum.ai for assistance or clarification.
The following definitions apply to these Terms:
Users must comply with all applicable laws and regulations in their use of the Platform and Services. Users may not use the Platform or Services to store or transmit any data that violates export control laws or regulations. Users warrant that they are not named on any U.S. government list of persons or entities prohibited from receiving exports. Users may not use the Platform or Services in violation of any anti-corruption or anti-bribery laws, including the U.S. Foreign Corrupt Practices Act and the UK Bribery Act.
Subject to compliance with these Terms, Cognum grants Users a non-exclusive, non-transferable, limited license to access and use the Platform and Services solely for Users’ internal business purposes.
Users may not sell, transfer, sublicense, or distribute access to any portion of the Platform or Services without Cognum’s prior written consent. Users are responsible for all activities occurring under their account and for keeping their account access credentials confidential.
Users represent and warrant that any information submitted to the Platform is accurate and that Users have all necessary rights to submit such information. Users may not submit any information or Content that infringes or violates any law, regulation or third party rights.
Users must register for an account to access the Platform and Services. Cognum reserves the right to refuse any account registration or terminate accounts in its sole discretion.
Cognum offers various subscription plan options, which are detailed on our website. Cognum will charge Users’ selected payment method according to the chosen subscription plan. Users are responsible for any taxes applicable to their use of the Platform and Services.
Functional access related to upgrades or downgrades in subscriptions may take effect immediately, while pricing changes will occur at the next billing renewal period.
Subscriptions automatically renew unless cancellation notice is provided before the renewal date. Cognum does not provide refunds for partial subscription periods. Users may not re-subscribe to the same paid monthly plan within twenty-one (21) days for the same account. Users may at any time terminate their paid self-service plan.
Users may seek technical support or report issues through the help center available on our website or by contacting our support team at hello@cognum.ai. Cognum aims to respond to all support inquiries within a reasonable timeframe but does not guarantee any specific resolution times.
The Platform, Services, and AI Employees may incorporate software components, proprietary algorithms, visual interfaces, integrated frameworks, technical documentation, and other elements that are protected by trademarks, patents, copyrights, trade secrets, and other intellectual property rights owned by Cognum. Users may not use, access, copy, distribute, modify, adapt, translate, reverse engineer, decompile, or disassemble any proprietary elements of the Platform or Services without express authorization from Cognum.
Cognum reserves all rights not expressly granted in these Terms. All user-generated Content remains the property of the respective User, however, by submitting Content to the Platform, Users grant Cognum a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use, reproduce, distribute, and display the Content in connection with the Platform and Services.
Users may not use the Platform or Services for any unlawful, invasive, infringing, defamatory or fraudulent purpose. Users may not interfere with or disrupt the integrity or performance of the Platform.
Users are solely responsible for the Content they submit and must comply with applicable laws. Cognum has no obligation to screen, police or censor any Content.
Users’ privacy is of utmost importance to Cognum. All data collection, usage, and storage are conducted in accordance with our Privacy Policy. Users are encouraged to review our Privacy Policy to understand how their data is handled.
Cognum provides the Platform and Services on an “as is” basis, offering no warranties whatsoever. All warranties, whether explicit or implied, are disclaimed by Cognum. This includes warranties regarding accuracy, availability, reliability, title, non-infringement, merchantability, or fitness for a specific purpose.
Cognum will not be held liable for any indirect, incidental, special, consequential, or punitive damages that may arise from using or being unable to use the Platform or Services. The total liability of Cognum, in accordance with these Terms, will not surpass the fees the User paid to Cognum in the 12 months prior to the incident.
Users agree to fully indemnify, defend and hold harmless Cognum and its affiliates from any claims, damages, losses or expenses arising from Users’ breach of these Terms or use of the Platform or Services.
Cognum may terminate these Terms and a User’s access to the Platform and Services if the User:
Upon termination, the User’s access to the Platform, Services, and any Content will be immediately revoked. The User will be notified via email at least 30 days prior to termination unless the termination is for a violation of law or third party rights or an emergency security issue.
Any disputes arising out of or related to these Terms, the Platform, or the Services shall be resolved through final and binding arbitration under the rules of the American Arbitration Association. Arbitration will be held in Delaware, USA, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Notwithstanding the foregoing, Cognum may seek and obtain injunctive relief in any jurisdiction.
Cognum will provide Users with notice of any changes to these Terms via email and by posting the updated Terms on the Platform. Changes will not take effect until at least 30 days after notice has been sent. Continued use of the Platform after any changes constitutes acceptance of the new Terms. If the User does not wish to abide by the new Terms, they must cease using the Platform and Services.
These Terms represent the entire agreement between Users and Cognum relating to use of the Platform and Services. Applicable laws may confer certain additional rights and consumers that cannot be waived or limited by these Terms.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in effect.
These Terms are governed by the laws of the State of Delaware and all disputes must be handled exclusively in the courts of Delaware.
